Vacancy exist for the role of Chief Legal Officer

JOB PURPOSE:
To protect the Group’s interest in all business transactions and minimize exposure to potential litigation by advising on the legal implications of decisions and actions.

ORGANISATIONAL RELATIONSHIPS:

REPORTS TO: Group Managing Director

DIRECT REPORTS: Legal and Documentation department

KEY RESPONSIBILITIES:

Ø  Formulates and implements legal strategies to ensure compliance with all legal and corporate governance requirements.
Ø  Coordinates the drafting, vetting and review of all legal documents and agreements.
Ø  Prepares legal guidelines on all business transactions to mitigate against possible litigation, arbitration, staff and/or community unrest and other situations capable of disrupting the operations.
Ø  Negotiates and advises Executive Management in all contractual arrangements.
Ø  Monitors changes in relevant legislation and regulatory environment, advises Executive Management on current legislation, regulatory issues or legal risks that might impact the group’s strategies and operations.
Ø  Liaises with government agencies to ensure that the group obtains relevant licenses, permits and approvals for business operations.
Ø  Oversees legal aspects of insurance contracts for employees and company property (equipment and premises).
Ø  Provides legal advice and secretarial services to the group, the Board and committees on compliance with applicable rules and regulations.
Ø  Organizes and prepares the agenda for Board and committee meetings ensuring that notices of such meetings and all boards packs are dispatched to directors in sufficient time to ensure their meaningful contribution.
Ø  Maintains and updates all statutory records, i.e. registers of shareholders/directors, information memoranda, minutes of relevant meetings, share ownership structure and changes in any of these, in accordance with the Companies and Allied Matters Act, 2004.
Ø  Deals with correspondences and communicates company procedures and developments to relevant stakeholders in a timely and accurate manner.
Ø  Monitors and advises the Board of Directors on corporate governance trends and changes in relevant legislation.
Ø  Liaises with Government agencies that the company obtains relevant licenses permits and approvals for business operations.

PERSON SPECIFICATIONS:

Ø  First degree in Law from a reputable university.
Ø  Masters degree will be an added advantage.
Ø  Relevant professional certifications like member of the Bar Council Association of Nigeria.
Ø  Minimum 10-12 years post qualification experience, 5 of which must have been in a Management position interfacing with Executive Team and other partners.
Ø  Technical expertise in litigations.

Ø  Ability to work as a dogmatic, tenacious and canny lawyer and display the required personality at every point in time to the benefit of the Organization.
